Model requirement 4.4.6
Governance charters
What ISO 37004:2023 asks at 4.4.6, in our own words, and how it reads inside a controlled group. The draft's public contents heading for it is 4.4 Governance efficiency.
What the model asks
A governance charter puts a delegation into formal terms and provides the basis for judging, and improving, how well the delegation is carried out. Charters should set out in detail the delegations that the relevant governance policies point to, and should give an accurate picture of the organizational governance framework and strategy, as well as of any secondary frameworks and strategies.
What it means when one board controls another
A charter is the clearest evidence of a delegation. For each controlled entity, record whether its charter or equivalent states the reserved matters and the limits, and whether it has been reviewed since the group structure last changed.
Evidence an evaluator asks for
A maturity rating is a claim about how the group governs. The evidence is what proves it operated. Keep both, and keep them together.
- Governance charters: Charters (terms of reference, role contracts) for every delegated structure, aligned to policy and framework
Where evaluations commonly find gaps
- Committees operating without terms of reference
- Charters out of step with the framework
How this requirement enters the rating
This unit supplies the evidence for the efficiency aspect. Rate it on the six-point scale, cite the record that shows it operated in the period, and read the aspect page before you assign a level. The level descriptions for this aspect are on /aspects/efficiency/.
It carries 1 evidence item and 2 common gaps in the model. One item is enough only if it is the artefact that proves the practice operated, not a policy that says it should. Both gaps are seen often enough in first evaluations that the evaluation design should test for them explicitly. The group application on this page is ours; the requirement and evidence are the model's, stated in our own words.
