The rules that apply to you
Four markets, and the frameworks that govern the group
A company secretary does not work in one regime. This page names the frameworks that commonly set the audit criteria and disclosure expectations beside a group maturity assessment, in the order United States, European Union, United Kingdom and Australia, each chosen by scanning the set of frameworks this site reads for the buyer's activity and data. The draft is not one of them: it is voluntary guidance and creates no obligation in any market.
How these were chosen
The frameworks were selected by scanning the compliance set this site reads for the activity and data a group governance team handles: company law, group accounts, listing rules, board governance codes, prudential supervision and sustainability disclosure. The scan was run on 21 October 2026 for each market in turn. The choice follows the buyer, not a fixed list, and where a market's regime is not in the record the page says so rather than stating it.
ISO/DIS 37014 is guidance in the ISO/TC 309 family. It is not a law, it implements no regime, and it creates no obligation in any of the four markets. What it does is give a method for measuring and reporting the governance that those obligations rely on.
United States
These are the US sources a group governance team most often has to answer to. None of them makes ISO/DIS 37014 applicable, and the draft creates no US obligation. They matter because they set the audit criteria and the disclosure expectations the maturity result may feed.
| Framework | Why it matters to this buyer |
|---|---|
| Delaware General Corporation Law | The default statute for many US holding structures. It sets how a parent exercises control over a subsidiary board through stock ownership and charter provisions, which is the legal fact the draft's control test looks for. |
| NYSE and Nasdaq corporate governance listing standards | For a listed parent, the independent director and committee requirements shape the board the maturity model rates. |
| Sarbanes-Oxley Act section 302 and 404 | Where the group is SEC registered, the certification and internal control reporting duties are the assurance evidence behind the oversight and accountability dimensions. |
European Union
The EU instruments below shape what a group board must disclose and how it must supervise. They do not adopt the draft; they are the obligations the governance maturity result can support evidence for.
| Framework | Why it matters to this buyer |
|---|---|
| Accounting Directive 2013/34/EU, consolidated group accounts | Defines the group for financial reporting and requires consolidated accounts, which is often the entity list a maturity evaluation starts from. |
| Shareholder Rights Directive II (EU) 2017/828 | Sets expectations on shareholder engagement and related party transactions, which touch the controller and member stakeholder roles. |
| Corporate Sustainability Reporting Directive (EU) 2022/2464 | Requires sustainability reporting across the group, including governance information, and is a place where a maturity statement may be reused. |
United Kingdom
The UK sources below are the governance code and the company law a UK parent or subsidiary answers to. They are not the draft, and the draft is not part of the UK regime.
| Framework | Why it matters to this buyer |
|---|---|
| UK Corporate Governance Code | The comply-or-explain code for premium-listed companies. Its board effectiveness and committee provisions are the closest UK analogue to the behaviour and effectiveness aspects. |
| Companies Act 2006, sections 172 and 399 | Sets the directors' duty to promote the success of the company and the group accounts requirement, which frame the double accountability the draft describes. |
| Wates Principles for large private companies | A voluntary framework for large private groups, often the reference a private UK group uses where the Code does not apply. |
Australia
The Australian sources below are the ones a company secretary in an ASX-listed or large private group works with. The draft is not part of Australian law and no regulator has adopted it.
| Framework | Why it matters to this buyer |
|---|---|
| ASX Corporate Governance Council Principles and Recommendations | The recommended practices for ASX-listed entities, including board composition, committee structure and governance disclosure, which map to several dimensions. |
| Corporations Act 2001 (Cth) | Sets directors' duties and the financial reporting and consolidation rules for the group, and is the source of the entity list for the boundary map. |
| APRA Prudential Standard CPS 510 Governance | For a group containing a prudential institution, sets board and senior management obligations that raise the appropriate maturity level for those entities. |

Each market section lists the official source, so a framework can be checked without relying on this site. The selection is editorial: it reflects the buyer's activity and data, and it is not a statement that every framework applies to every organisation.
Where a regime is not in the record
This site does not state a requirement from a framework that is not in the record. Where the scan returned no framework in the record for a market's specific sector, the market section names the framework that applies and points to the official source rather than paraphrasing it. A named reference is not a statement of its requirements.
Nothing on this page is legal advice. Check the official text of each instrument before you rely on it.
