Aspect 4.3
Governance effectiveness
Whether the practices meet the principle's objective. Effectiveness asks whether the practices the board uses actually achieve what the principle is for. It is about the fit between the practice and the objective, not about how many practices there are or how well they are written down.
What this aspect rates
For each principle, ISO 37000 gives the principle, the reasons for it and its key aspects of practice. The board chooses practices that suit its context, and effectiveness is judged against the principle's objective. Administrative work such as minuting meetings is not a governance practice and is not counted.
The question to ask: Which practices does the group use for this principle, and what evidence shows they achieve its objective?
Evidence for this aspect
- A mapping from each principle's objective and key aspects of practice to the practices the group uses.
- An assessment of each practice against the objective, not against its own procedure.
- A note separating governance practice from meeting administration.
- The evidence that the practice operated in the period, not only that it exists.
Where this aspect is usually overstated
- Meeting administration counted as governance practice.
- A complete set of practices rated effective with no assessment against the objective.
- Practices copied from a template without a reason tied to the principle.
- Assessments that record activity volume rather than outcome.
Two boards, one aspect
Effectiveness is where group and entity objectives can diverge. A group-wide practice may be effective for the group purpose and ineffective for a controlled entity whose own purpose and obligations differ. The evaluation should rate the practice at the level where it operates, and record the divergence rather than averaging it.
